RULES

Eastbourne Hospitality Association

1 FINANCE The EHA financial year runs from 1st January to 31st December.

1.1.1 Subscriptions Any proposed increase in subscription above the annual rate of inflation will be submitted by the Executive Committee to the Membership at a Special General Meeting called for that purpose.
Subscriptions are due for renewal on the 1st January, and Members shall only be entitled to the privileges of Membership on receipt of subscription.

1.1.2 Unpaid Subscriptions Six weeks after the due date membership may be terminated, after consideration by the Executive Committee. After 1st March, membership automatically ceases.

1.2 Revenue - The Association shall use revenue from subscriptions and other sources, such as holiday insurance, to defray its expenses, any surplus being invested in the interest of the Association, as the Executive Committee may decide.

1.3 Accounts - The Association Treasurer shall present a financial statement to each meeting of the Executive Committee.

1.4 Audit of Accounts - An Accountant shall be appointed at the Annual General Meeting to audit the Association's accounts.

1.5 Finance
a) All money payable to the Association shall be received by the Treasurer and deposited in a bank account in the name of the Association. No sum shall be drawn from that account except by a cheque signed by any two of the Principal Officers. Any monies not required for immediate use may be invested as the Executive Committee deems fit.
b) The income and property of the Association shall be applied only in the furtherance of the objectives of the Association. The Executive Committee shall have the power to authorise the payment of remuneration and expenses to any Officers, Member or employee of the Association and to any other person or persons for services rendered to the Association. No part of the income and property of the Association shall be paid by way of bonus dividend or profit to any Member of the Association.
c) The financial transactions of the Association shall be recorded in a proper set of books kept by the Treasurer.

1.6 Property
a) The property of the association, other than cash at the bank, shall be vested in not more than four custodians. They shall deal with the property as directed by resolution of the Committee and entry in the Minute Book shall be conclusive evidence of such a resolution.
b) The custodians shall be elected at a Special or Annual General Meeting of the Association and shall hold office until death or resignation, unless removed by a resolution passed at a Special or Annual General Meeting of the Association.
c) The custodians shall be entitled to an indemnity out of the property of the Association for all expenses and other liabilities properly incurred by them in the discharge of their duties.

1.7 Borrowing
a) The Executive Committee may borrow money on behalf of the Association for the purposes of the Association from time to time at its own discretion for the general upkeep of the Association, or with the sanction of a Special or Annual General Meeting for any other expenditure, addition or improvement.
b) When so borrowing the Executive Committee shall have the power to raise in any way any sum or sums of money in such manner or in such terms and conditions as they think fit, and in particular by mortgage of or charged upon or by the issues of debentures charged upon or any part of the property of the Association.
c) the Executive Committee shall have no power to pledge the personal liability of any Member of the Association for the repayment of any sums so borrowed.
d) The custodians shall, at the discretion of the Executive Committee, make such dispositions of the Association's property, or any part thereof, and enter into and execute such Agreements and instruments in the relation thereto as the Executive Committee may deem proper for giving security for such monies and the interest payable thereon.

GENERAL

2.1 Quality Standards  Minimum Standards of accommodation and catering establishments are laid down by Eastbourne Borough Council (EBC) and Eastbourne Hotels’ Association (EHA).

 Inspection  Establishments which currently hold at least 2 Diamonds (Guest Accommodation) or 1 Star (Hotels) with the AA, RAC or ETC may not require further inspection.

Establishments without these awards will be inspected, on initial application, to the above minimum quality standards, by The Eastbourne Accommodation Inspector.  Applicants should ensure their premises comply with the standards before making application for membership to avoid a further inspection charge.

Subsequent inspections will be carried out annually.

 2.2 Secretarial Duties - to be carried out by person or persons appointed by the Executive
Committee at an agreed fee.

2.3 Advisory Solicitors - to be elected at the Annual General Meeting to advise on legal

matters affecting the Association.   Members consulting the Solicitor will incur their own
charges.

2.4 Headquarters - Kestrel House, Marine Road, Eastbourne, or as the Executive
Committee may from time to time decide.

2.5  Expulsion - if at any time the Executive Committee shall be of the opinion that the interests of the Association so require they may by letter invite any Member to resign from the Association within a time specified in such letter.   In default of such resignation the question of the Member's expulsion shall be subject to a special meeting of the Executive Committee to be held within three weeks after the date specified in such letter as the date before which the Member shall have been invited to resign.   The Member whose expulsion is sought shall have at least seven days notice of such meeting and of the grounds on which it is sought to expel him, which grounds may include a failure of the premises owned or managed by the Member to achieve the standards required by the Association.   At such meeting, with at least the Quorum of the Executive Committee present, the Member shall be allowed to offer an explanation for his conduct verbally or in writing and, if two-thirds of the Committee Members present shall vote for the Member's expulsion, the Member shall thereupon cease to be a Member of the Association and shall forfeit all right to claim upon the Association, its property and funds.

2.6  Dissolution

a)         A resolution to dissolve the Association shall only be proposed at a Special General Meeting and shall only be carried by a majority of at least three quarters of the Members present.

b)        The dissolution shall take effect from the date of the resolution and Members of the Executive Committee shall be responsible for the winding up of the assets and liabilities of the Association.     

c)         Any property remaining after the discharge of the debts and liabilities of the Association shall be divided equally among the Members of the Association at the date of the dissolution.

2.7  Alteration of Rules - these rules may be altered at a Special or Annual General Meeting, provided the resolution is carried by at least two-thirds of the Members voting.

2.8  Circulation of Rules - each Member shall receive a copy of these Rules on joining the Association, and alterations to Rules within three months of the alteration.  The latter will be sent  to the Member's last known postal address.

2.9  Interpretation of Rules - disputes or complaints will be referred to the Executive Committee whose decision shall be final.

  OBJECTIVES

             The EHA exists to …

 Ø       Consider all measures that may be in the best interests of its Members

and of the Eastbourne visitors.

 Ø       Protect the interest of the hospitality industry, particular with regard to legislative measures affecting it.

 Ø       Enable the interchange of Members’ experiences and suggestions at periodical meetings and social occasions.

 Ø       Provide a form to consider personnel, marketing, publicity and other

relevant areas.

 Ø       Ensure a high quality of facilities, service and efficiency amongst

its Members.

 Ø       Provide Members with office support facilities, and information on matters affecting their business.

 Ø       Maintain close liaison with Eastbourne Borough Council’s Chief

Executive, Tourism & Community Services and the Department’s staff

to ensure a mutual exchange of ideas.

 Ø       Maintain a liaison and, where necessary, an affiliation with

other Hotels’ Associations, Tourism South East and Government Departments,

using the good offices of the Patron where appropriate.
